DEFINITIONS
Capitalised terms used herein have the meaning given to them below.
"Customer" means a natural person of legal age, acting for personal purposes and having full legal capacity to enter into these terms.
"Booked Rate Conditions" means the specific conditions of each booking made by the Customer (rate, cancellation and modification conditions, payment terms).
"Booking Confirmation" means the document summarising the details of the booking made by the Customer, sent to the Customer by email.
"Booking Request" means any request to book a hotel room made by the Customer.
"Hotel" means the Hôtel Vendôme Saint Germain, operated by Hôtel Vendôme Saint Germain, a simplified joint-stock company with a share capital of 76,224.51 euros, whose registered office is at 8 rue d'Arras, 75005 Paris, registered with the Paris Trade and Companies Register under number 562 121 186.
"Partners" means all service providers that have entered into a service agreement or a partnership agreement with the Hotel, in particular the technical providers of the booking engine, the hotel management software and online payment.
"Service" means any hotel room booking service and related services booked by the Customer on the Hotel Website.
"Hotel Website" means the Hotel's website available at www.hotelvendomesaintgermain.com, together with the online booking engine integrated into it.
ARTICLE 1: SCOPE
These General Terms and Conditions of Sale apply, without restriction or reservation, to any purchase of hotel room booking services and related services (the "Services") offered by the Hotel (the "Provider") to consumers and non-professional customers (the "Customer") on the Hotel Website.
The main characteristics of the Services are presented on the Hotel Website. The Customer must read them before making any booking. The choice and purchase of a Service are the sole responsibility of the Customer.
The Customer declares that they have full legal capacity to enter into these terms, that they are booking for personal purposes and that they are able to save and print these General Terms and Conditions of Sale.
The Hotel's contact details are as follows: Hôtel Vendôme Saint Germain, 8 rue d'Arras, 75005 Paris, telephone +33 (0)1 43 26 80 98, contact@hotelvsg.com.
These terms apply to the exclusion of all other terms, in particular those applicable to other sales channels for the Services. The Hotel enters into partnership agreements with third-party travel providers that allow the Customer to search for, select and book rooms at the Hotel from their own websites. Any booking made in this way implies acceptance of the specific conditions of the provider concerned, of the Booked Rate Conditions and of these General Terms and Conditions of Sale.
These General Terms and Conditions of Sale are available at all times on the Hotel Website and shall prevail, where applicable, over any other version or any other conflicting document.
Unless proven otherwise, the data recorded in the computer systems of the Provider and its Partners constitute proof of all transactions concluded with the Customer. Entering bank details and accepting the General Terms and Conditions of Sale and the Booked Rate Conditions have, between the Hotel and the Customer, the same value as a handwritten signature. The Hotel keeps the written record of the contract, in electronic or paper form, for a maximum period of five years. The Customer is informed that their IP address is recorded at the time of booking.
The Customer declares that they have read these General Terms and Conditions of Sale, including the Personal Data Charter set out in article 8, and that they have accepted them by ticking the box provided for this purpose before confirming their online booking. Confirming the booking constitutes acceptance of these terms without restriction or reservation.
As these General Terms and Conditions of Sale may be amended, the version applicable to the Customer's purchase is the one in force on the Hotel Website on the date of booking. The Hotel reserves the right to close access to its Website temporarily or permanently.
ARTICLE 2: BOOKINGS
The Customer selects the Services they wish to book on the Hotel Website, via the online booking engine, as follows:
1. selection of the dates of stay and number of guests;
2. selection of the room type and rate;
3. selection of related services where applicable;
4. review and confirmation of the booking details, the total amount and the conditions of the selected rate;
5. entry of their contact details;
6. entry of their credit card details, as a guarantee or as prepayment depending on the rate;
7. reading and acceptance of the General Terms and Conditions of Sale and of the conditions of the selected rate;
8. confirmation of the booking.
The Customer acknowledges having read the nature, purpose and booking terms of the Services offered by the Hotel and having obtained the information necessary to make their booking in full knowledge of the facts. They are solely responsible for their choice of Services and for their suitability to their needs. The Customer undertakes to complete the information requested and certifies that the information provided is true and accurate.
Contractual information is presented in French and is confirmed no later than at the time the Customer confirms the booking. The Customer may check the details of their booking and its total price and correct any errors before confirming their acceptance (article 1127-2 of the French Civil Code). This confirmation implies acceptance of these General Terms and Conditions of Sale in their entirety and constitutes proof of the contract of sale. It is the Customer's responsibility to check that the booking is accurate and to report any error immediately.
The booking becomes final when the Booking Confirmation is sent to the Customer by email and, for prepaid rates, once the price has been collected. Any booking made on the Hotel Website constitutes a distance contract between the Customer and the Provider. The Hotel reserves the right to cancel or refuse any booking from a Customer with whom there is a dispute concerning payment for a previous booking. Each booking is personal and may not be transferred to a third party.
Cancellation or modification of a booking at the Flexible rate: the booking may be cancelled or modified free of charge up to two days before the scheduled arrival date. In the event of cancellation less than two days before the arrival date, or of a no-show, an amount equal to the total price of the first night shall automatically be retained by the Provider and charged to the Customer.
Cancellation or modification of a booking at the Non-cancellable, non-refundable rate: in the event of cancellation or modification by the Customer, for any reason whatsoever, an amount equal to 100% of the total prepaid amount shall be retained by the Provider. The same applies if the Customer does not arrive on the scheduled arrival date.
Free cancellation period: whatever the rate booked, any booking made on the Hotel Website may be cancelled free of charge within 15 minutes of its confirmation.
ARTICLE 3: RATES
The Services are provided at the rates in force on the Hotel Website when the booking is recorded. Prices are expressed in euros, all taxes included, excluding tourist tax. They take into account any discounts granted by the Provider under the conditions set out on the Hotel Website.
Rates are shown before and during the booking process. They are per room, for the number of guests and the dates selected. They include VAT at the rate applicable on the day of booking; any change in the VAT rate or introduction of new legal or regulatory taxes will be passed on in the rates at the invoice date.
Rates do not include the tourist tax, which is payable directly at the Hotel. Unless otherwise stated, related services (breakfast, etc.) are not included in the price.
Conversion into a foreign currency is given for information only and is not contractual. If a rate involves payment directly at the Hotel and the Customer's currency is not the euro, the amount debited may differ from the amount stated at the time of booking, due to changes in the exchange rate.
An invoice is issued by the Provider and given to the Customer when the booked Services are provided.
ARTICLE 4: PAYMENT TERMS
Online payment is made by credit card, through the secure payment provider of the booking engine. Accepted cards are Visa and Mastercard; American Express is not accepted. Payment data is exchanged in encrypted form; the Hotel does not have access to the full card details.
Non-cancellable, non-refundable rate: the price is payable in full, immediately, on the day the booking is confirmed. The Provider shall not be required to provide the Services if the price has not been paid in full under these conditions.
Flexible rate: the credit card is provided as a guarantee for the booking. The price is payable in full, immediately, on the day the Services are provided, according to the invoice given to the Customer. On arrival, the Hotel may ask the Customer for a security deposit or for authorisation to debit their credit card in order to guarantee payment for services consumed on site.
The Customer shall present the credit card used for the booking on arrival at the Hotel. Proof of identity may be requested as part of fraud prevention procedures. Payments made by the Customer shall only be considered final once the sums due have actually been collected.
ARTICLE 5: PROVISION OF SERVICES
The booked Services are provided under the conditions set out in these General Terms and Conditions of Sale, supplemented by the Booked Rate Conditions accepted by the Customer when booking.
On arrival, the Customer will be asked to present proof of identity in order to complete the police registration form required by law.
The Hotel is entirely non-smoking. The Customer will be held liable for any damage resulting from smoking in the Hotel and for the cost of cleaning and restoration.
Pets, including dogs and cats, are not allowed in the Hotel, with the exception of guide dogs and assistance dogs accompanying a person with a disability, in accordance with the law.
The Customer's personal belongings left in the room, in particular outside the safe, or in public areas are their sole responsibility; the Hotel cannot be held liable for their loss, theft or damage, within the limits provided by law.
The Customer undertakes to use the room with due care. Any behaviour contrary to public decency and public order will lead the Hotel to ask the Customer to leave the premises without compensation or refund; if no payment has yet been made, the Customer shall pay the price of the nights already consumed. The Customer will be held liable for all damage they cause, observed in the room or within the Hotel, and undertakes to compensate the Hotel accordingly.
Wi-Fi access is available to Customers. The Customer undertakes not to use the IT resources made available to them to reproduce, represent, make available or communicate to the public works protected by copyright or related rights without the authorisation of the rights holders. Failure to comply with these obligations exposes the Customer to the penalties provided for by the French Intellectual Property Code (article L.335-3). The Customer shall comply with the security policy of the Hotel's internet access provider.
Unless otherwise stated, the room is available to the Customer from 3 pm on the day of arrival and must be vacated before 12 noon on the day of departure. Otherwise, an additional night may be charged. In the event of early departure, charges equivalent to one night will be invoiced, unless the Customer has informed the Hotel at least 24 hours before departure.
The Provider undertakes to use its best efforts to provide the booked Services, under an obligation of means. The Customer has eight days from the date of departure to submit, in writing, any reservations or complaints concerning the provision of the Services, with supporting documents. Failing this, the Services shall be deemed to comply with the booking.
In the event of an exceptional event, force majeure or inability to make the booked room available to the Customer, the Hotel reserves the right to accommodate the Customer, in whole or in part, in a hotel of equivalent category, for services of the same nature, subject to the Customer's prior agreement.
ARTICLE 6: RIGHT OF WITHDRAWAL
In accordance with article L.221-28 of the French Consumer Code, the Customer does not have the right of withdrawal provided for in article L.221-18 of the same code, given the nature of the Services provided (accommodation services on a specific date or for a specific period). The contract is definitively concluded as soon as the Customer confirms the booking.
ARTICLE 7: LIABILITY OF THE PROVIDER, WARRANTY
In accordance with legal provisions and at no additional cost, the Provider guarantees the Customer against any lack of conformity of the Services booked and actually paid for. The Services provided through the Hotel Website comply with the regulations in force in France.
ARTICLE 8: PERSONAL DATA PROTECTION
The personal data requested from the Customer is necessary to process their booking, manage their stay and issue invoices. It is processed by the Hotel, as data controller, and may be shared with its Partners responsible for carrying out, processing, managing and paying for bookings (booking engine, hotel management software, payment provider, customer communication tool), within the limits of their assignments. The Hotel may send its Customers, by email, its newsletter, offers and a satisfaction questionnaire after their stay; the Customer may object to this at any time.
Data is kept for as long as necessary for the purposes of the processing and to meet legal and accounting obligations. In accordance with the General Data Protection Regulation and the French Data Protection Act, the Customer has the right to access, rectify, erase, restrict, object to and port their data, which they may exercise by writing to contact@hotelvsg.com or by post to Hôtel Vendôme Saint Germain, 8 rue d'Arras, 75005 Paris, with proof of identity. They may lodge a complaint with the CNIL, the French data protection authority.
ARTICLE 9: OPT-OUT FROM TELEPHONE CANVASSING
In accordance with article L.223-2 of the French Consumer Code, Customers who do not wish to receive telephone sales calls may register free of charge on the Bloctel opt-out list, available at www.bloctel.gouv.fr.
ARTICLE 10: INTELLECTUAL PROPERTY
The content of the Hotel Website is the property of the Hotel and its Partners and is protected by French and international intellectual property laws. Any reproduction of this content, in whole or in part, is strictly prohibited and may constitute an offence of infringement.
ARTICLE 11: HARDSHIP
These General Terms and Conditions of Sale expressly exclude the legal hardship regime provided for in article 1195 of the French Civil Code for all transactions involving the Provider's Services to the Customer. The Provider and the Customer each waive the right to rely on the provisions of article 1195 of the French Civil Code and undertake to fulfil their obligations even if the contractual balance is upset by circumstances that were unforeseeable at the time of the sale.
ARTICLE 12: FORCE MAJEURE
The Parties shall not be held liable if the non-performance or delay in performance of any of their obligations results from a case of force majeure, within the meaning of article 1218 of the French Civil Code.
ARTICLE 13: MISCELLANEOUS
These General Terms and Conditions of Sale, the Booked Rate Conditions, the Booking Request and the Booking Confirmation constitute the entire agreement between the parties within its scope and replace any prior agreement. No tolerance, whatever its nature, extent, duration or frequency, shall be deemed to create any right or to limit the possibility of relying on any of these clauses. Any clause declared void or unlawful by a competent court shall have no effect, without affecting the validity of the other provisions.
ARTICLE 14: GOVERNING LAW, LANGUAGE
These General Terms and Conditions of Sale and the transactions arising from them are governed by French law. They are written in French; should they be translated, only the French text shall prevail in the event of a dispute.
ARTICLE 15: DISPUTES
All disputes to which the transactions concluded under these terms may give rise, and which could not be resolved between the Hotel and the Customer, shall be submitted to the competent courts under ordinary law.
The Customer is informed that they may use conventional mediation or any alternative dispute resolution method. In the event of a dispute, the Customer and the Hotel will endeavour to find an amicable solution. Failing an amicable agreement within one month of the written complaint sent to the Hotel, the Customer may, within one year of that complaint, refer the matter free of charge to the Tourism and Travel Ombudsman (www.mtv.travel), or file a complaint on the European online dispute resolution platform: https://ec.europa.eu/consumers/odr/.
ARTICLE 16: PRE-CONTRACTUAL INFORMATION, CUSTOMER ACCEPTANCE
The Customer acknowledges having received, prior to placing their booking and concluding the contract, in a legible and understandable manner, these General Terms and Conditions of Sale and all the information listed in article L.221-5 of the French Consumer Code, in particular: the essential characteristics of the Services; the price of the Services and related costs; the date or time frame for providing the Services; the identity of the Provider and its postal, telephone and email contact details; the legal warranties and how to exercise them; the possibility of using conventional mediation in the event of a dispute; the accepted payment methods.
Booking on the Hotel Website implies full and complete adherence to and acceptance of these General Terms and Conditions of Sale and an obligation to pay for the Services booked, which is expressly acknowledged by the Customer, who waives the right to rely on any conflicting document.
